1 Acceptance of Terms

By creating an account or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Service.

2 Description of Service

Vidnomic is a SaaS platform that provides AI-powered generation tools including but not limited to: Text to Image, Text to Video, Image to Video, Video to Text, Image to Text, Image to Image generation, prompt enhancement, and workspace collaboration features. The Service is provided on a credit-based usage model.

3 Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years of age to create an account and use the Service.

4 Subscription Plans & Credits

Vidnomic offers various subscription plans, including a free tier with starter credits and paid plans with additional credits and features. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

• Credits are consumed when you use AI generation tools
• Unused credits may expire at the end of each billing cycle depending on your plan
• Plan features, pricing, and credit allocations may change with reasonable notice
• Subscriptions renew automatically unless canceled before the renewal date

5 Payment & Billing

All payments are processed securely through our payment processor, Paddle. By providing payment information, you authorize us to charge your payment method for the applicable fees. All fees are stated in USD unless otherwise specified.

• Prices are exclusive of applicable taxes, which will be added at checkout
• You are responsible for keeping your payment information up to date
• Failed payments may result in suspension of your account

7 Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create deepfakes or misleading content intended to deceive others
• Generate content that infringes on intellectual property rights
• Produce child sexual abuse material or exploitative content involving minors
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service beyond the provided API
• Resell or sublicense access to the Service without written consent
• Interfere with or disrupt the integrity or performance of the Service

8 Intellectual Property

The Vidnomic platform, including its design, code, brand, and documentation, is the intellectual property of Vidnomic and its licensors. You may not copy, modify, distribute, or create derivative works of the Service.

Your generated content: You retain ownership of the content you create using the Service, subject to the underlying AI model licenses. You grant Vidnomic a limited, non-exclusive license to process and store your content as necessary to provide the Service.

9 Limitation of Liability

To the maximum extent permitted by applicable law, Vidnomic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability for any claim shall not exceed the amount you have paid to Vidnomic in the twelve (12) months preceding the claim.

10 Service Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties. We do not guarantee:

• 100% uptime or uninterrupted access to the Service
• The accuracy, quality, or suitability of AI-generated content
• That results will be free from errors or defects

11 Account Termination

Vidnomic reserves the right to suspend or terminate your account for:

• Violation of these Terms or Acceptable Use policy
• Fraudulent activity or unauthorized account access
• Non-payment of subscription fees
• Use of the Service for illegal activities or generating prohibited content

Upon termination, your right to use the Service ceases immediately. Account data may be deleted after a 30-day grace period.

12 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use constitutes acceptance of the updated Terms.

13 Governing Law

These Terms shall be governed by applicable laws. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
